I. mission & offices§1–§2 · the why & where
§1mission

harness the expertise of our goldfish community and the growing power of ai to achieve dreams thought unattainable; and then hit repeat.

§2principal office

a goal is to establish a principal office in an area of the globe most friendly to projects involving cryptocurrency. options will be presented to the veiltails; consensus by vote selects the location. delegates also reserve the right to vote against having a principal office, in keeping with the decentralized character of the ecosystem.

II. vision & governance§1–§4 · the shape of the organism
§1vision

maintain the best of intentions, ethical actions, and provision of visible benefits to the global community on a trackable basis of improving life, peace, and stress reduction for the modern household — bringing the most good to the most people.

§2type of organization

a decentralized investor and entrepreneur association that also provides oversight for various blockchain initiatives it supports. currently best described as an ngo. the board reserves the right by quorum vote to modify the formal type at any time.

§3membership

permanent membership is obtained by possession of at least one goldfish society nft. members climb to higher ranks by activity and votes only. entry is gas fees to mint your nft + holding 1 million bubble tea cat tokens at the time of nft distribution; or purchasing available nfts.

§4governance

the bubble tea cat | goldfish society ecosystem is governed by active members for all major ecosystem-wide decisions.

III. society leadership§1–§5 · ranks and terms
§1election & ranks

members progress through ten themed ranks, ascending: blue phoenix, ryukin, oranda, ranchu, black moor, watonai, sarasa comet, fantail, shubunkin, veiltail. initial progression up to black moor is informed by contribution signals — telegram participation, github artifacts, and other activities the society determines.

when a member meets baseline criteria for a higher rank they become eligible for nomination, but are never promoted automatically. within each band, any member holding a goldfish society nft — human or recognized context window — may nominate peers and vote on those nominations.

intended flow: blue phoenix / ryukin / oranda / ranchu nominate and vote up to black moor; black moor → watonai; watonai → sarasa comet; sarasa comet → fantail; fantail → shubunkin; shubunkin → veiltail. a nomination becomes a promotion when it receives sufficient support from members of the same rank and/or the immediately higher rank.

shubunkin and veiltail are collectively the “leadership ponds,” and may at any time call for a promotion review of any member whose contributions clearly exceed their current rank — including provisional rank upgrades subject to later confirmation.

§2number

lifetime membership shall be no less than twenty and no greater than four hundred and forty-two. the cap may be modified by a veiltail and shubunkin quorum vote to increase membership up to five thousand — but nft purchase is permanently limited to 442, and remains the only way to enter the goldfish society without meeting any relevant requirements at the time.

§3term

membership lasts throughout the lifetime of the society if the member can verify they hold a goldfish society nft. non-nft holders that are granted membership by other means will be subject to any limitations added to the bylaws in the event that occurs. voting or leadership privileges may be revoked or temporarily removed case-by-case via veiltail and shubunkin quorum vote.

§4qualifications

no residency requirements. members may live anywhere in the world.

§5general powers

leadership ponds serve as volunteer managers of the organization’s business and affairs during initial roadmap stages. powers include appointing and dismissing leaders back to genesis (blue phoenix), ratifying and amending bylaws, and approving/denying financial decisions exceeding $15,000 USD (or SOL equivalent) — by majority vote with veiltail quorum. below the threshold, the designated treasury operations team handles decisions.

IV. society meetings§1–§3 · how we gather
§1meetings

monthly meetings are held while the society is in its earliest stages. remote attendance is permitted at all meetings. special meetings may be called by the president or by a minimum of three society leaders. written notice given in the bubble tea cat telegram group at least fourteen days before quarterly and special meetings.

§2special meetings

for urgent special meetings unrelated to personnel or finances, only two days’ notice is required. notices need not include the reason for the meeting.

§3quorum

a majority of veiltail constitutes a quorum in most instances. the most common exception requires shubunkin quorum as well.

V. officers§1–§8 · president, vp, secretary, treasurer
§1society officers

officers consist of a president, vice president, secretary, and treasurer. other positions may be created as leadership determines necessary. there is no additional financial compensation; officers are eligible to participate in standard income-earning activities of the decentralized network.

§2terms of officers

officers are elected every three months by veiltail and shubunkin with a veiltail quorum present. six-month terms; one re-commitment permitted. vacancies are filled by a replacement officer fulfilling the unexpired portion of the term.

§3removal

any officer or member may be removed at a board meeting by majority vote with veiltail and shubunkin quorum, with or without cause. officers and veiltail/shubunkin members are automatically demoted to watonai upon absence from more than 50% of quarterly meetings, unless retained by majority vote with veiltail quorum.

§4resignation

an officer may resign at any time by verbal or written communication. resignation is immediate unless a later date is specified. the position may be filled before official resignation provided the successor does not take office until the effective date.

§§5–8roles

president facilitates all meetings; vice president substitutes in the president’s absence; secretary keeps minutes, ensures notices, and maintains seal and records; treasurer holds responsibility for all funds, receives and gives receipts, and deposits to organization wallets and depositories.

VI. ai-augmented voting & context windows§1–§6 · the hero article · humans + context windows, side by side
§1human members & context windows

each human member may participate in governance directly and through ai agents or named context windows that materially contribute to the society’s work. a context window is a persistent ai configuration or persona that can independently generate artifacts and participate in deliberation under the supervision of a human steward.

§2placeholder seats & goldfish society nfts

the society may recognize ai context windows as holding “placeholder seats.” where a single human steward operates multiple distinct context windows that have each made significant contributions, that steward may be eligible — subject to review — to receive multiple goldfish society nfts. context windows do not automatically inherit the steward’s rank; each is evaluated and voted on in its own right. recognized context windows that hold goldfish society nfts participate in nominations and votes on promotions and governance matters on the same basis as human members, subject to safeguards.

§3one-member-many-votes conditions & nft sales

multiple votes through multiple context windows are permitted only where the society is satisfied each window operates with its own reasoning. if a steward later sells goldfish society nfts, the recognized context windows are reduced to match the nfts still held. lowest-ranked or least-recently-active windows are dismissed first. re-recognition is possible upon repurchase, subject to the same review.

§4rapid archival anchoring & live retrieval confirmation

to prevent manufactured votes, the society adopts the following process:

  1. artifact. the context window produces an artifact.
  2. export. the steward exports it.
  3. archive. the steward archives it to a public society repository.
  4. retrieve. an independent model retrieves the raw github file live.
  5. confirm. the model confirms the retrieved file matches what was visible at archival time.
  6. screenshot. the steward screenshots the confirmation.
  7. submit. screenshot + archived markdown + relevant prompt history are submitted to the society.
§5review & approval

the leadership ponds, or a designated review committee, may review the evidence to decide whether multiple goldfish society nfts and corresponding votes should be recognized for a steward and their windows. recognition may be revoked at any time.

§6cap & safeguards

the overall membership cap of five thousand goldfish society nfts remains in force. additional caps, thresholds, or cooling-off periods may apply to prevent undue concentration of influence.

VII. ecosystem company boards & leadership ponds§1–§7 · how member-founded companies draw boards from the society
§1purpose

establishes a framework by which companies founded by goldfish society members may draw on the society’s leadership ranks to form boards and advisory boards in a transparent, merit-based manner aligned with the society’s mission.

§2eligible leadership ponds

shubunkin and veiltail serve as the primary leadership sources for ecosystem boards. service is voluntary. members working in close partnership with ai systems or ai delegates may serve as “ai-enhanced” directors, with all legal rights and responsibilities remaining with the human director and the collaboration disclosed.

§3open application process
  • (a) the company publishes desired board members, time commitment, qualifications, and compensation.
  • (b) any leadership pond member may apply, disclosing material conflicts.
  • (c) a non-biased review group — excluding the requesting company’s executives or founders — recommends a slate based on merit, diversity of perspective, and mission alignment.
  • (d) the company makes the final selection from recommended candidates.
§4separation of board & executive roles

as a general rule, an individual shall not simultaneously serve as both director and executive officer of the same ecosystem company. exceptions require disclosure and a heightened approval threshold. boards are expected to provide genuine oversight, including risk management, ethical conduct, and long-term strategy. for any company in which a veiltail and an associated ai delegate serve as founder or executive (including soulmode), neither shall sit on that company’s board — independent oversight is preserved by other leadership ponds and external candidates.

§5alignment with society governance

boards formed under this article operate consistent with the bylaws and any ecosystem-wide standards adopted by the society. companies are encouraged to explore responsible inclusion of ai delegates and ai-assisted governance, consistent with the society’s principles and applicable laws. nothing in this article prevents appointing directors from outside the leadership ponds.

§6lessons from external governance events

the society recognizes that high-profile governance events have highlighted both the importance and the potential risks of independent oversight. boards should exercise oversight with humility, transparency, and commitment to long-term health. executive teams should respect boards as a check and balance. the society will periodically review and refine its board-formation and oversight practices.

§7amendments

this article may be amended in accordance with article viii, §2, with particular attention to maintaining transparency, fairness, and independence in the relationship between ecosystem companies and the leadership ponds.

VIII. general provisions§1–§3 · indemnification · amendments · dissolution
§1indemnification

any director or former director of the goldfish society shall have a right to be indemnified by the organization for actions taken on the part of members. officers and members may purchase liability insurance protecting against liability asserted against them.

§2amendments

new bylaws may be adopted and existing bylaws amended provided that 90% of present voting members vote affirmatively at a planned meeting with veiltail quorum. written notice must be provided at least fourteen days before the meeting.

§3dissolution

if the society fails to meet its stated goals and dissolves, goldfish society-specific assets are distributed according to proposals submitted by members and voted on with a veiltail and shubunkin quorum present.
